License Agreement for Metrix Plug-In
In exchange for the ability to download and/or use the Metrix color-matching software ("the Software") subject to the limitations herein, you agree that the law governing the Software and this License Agreement will be the law of the State of New York, any applicable laws of the United States that preempt New York State law, and any applicable international law. You also agree to be bound by the following terms to the maximum extent possible under those laws:
1. Except as provided in this License Agreement, the Licensor, Joshua Neil Rubin, who wrote the Software for his own use, retains all of his rights in the Software.
2. The Licensor has no liability in connection with the Software.
3. You may not attempt to reverse-engineer, decompile, modify, or create derivative works from, the Software.
4. You may only provide the Software to others by providing them with a link to http://www.jnrubin.net/psi.
5. The Licensor may discontinue access to or disable the Software or terminate any right to use it at any time for any reason.
6. Any legal proceeding relating in any way to the Software or this License Agreement must be brought in the appropriate court in the State and County of New York, and you are subject to the personal jurisdiction of such court in connection with any such proceeding. In any such proceeding, you and the Licensor waive any right to a jury trial.
7. If any part of this License Agreement is found by the court to be unenforceable as written, the rest will remain in effect and the court will have and should exercise the power to reform this License Agreement to effectuate the apparent intent of each part as closely as possible.
